How much equity do you actually give away in a pre-seed round?

Pre-seed is usually 15 to 25 percent plus the pool. The number that matters is post-money, not the pre-money quote.

How to read it:

1. Percent sold is check divided by post-money

2. A pre-money option pool dilutes founders, not the investor

3. Combined founder ownership should stay above 50 percent at seed

4. Model the next two rounds before you sign this one

If the sheet pushes you below 50 percent at seed, the valuation is too low or the round is too big.
